Terms of Service

These Terms govern your use of Compass. They are written in plain English so you can read them in one sitting. By creating an account you agree to them. If you do not agree, do not sign up.

1. Who We Are

Compass is provided by Starlight Tech Limited, a company registered in England and Wales.

In these Terms, "Compass", "we", "us" and "our" mean Starlight Tech Limited. "You" and "your" mean the person who creates an account or uses Compass.

2. Eligibility

To use Compass you must be at least 18 years old and legally able to enter into a contract. You must use your own email address and keep your password to yourself.

Compass is built for solo founders and small business owners. You can use Compass for your own business or for a side project. You cannot resell Compass, repackage its outputs as your own product, or use Compass as infrastructure for anything you charge other people to use.

3. What Compass Is and What It Is Not

Compass is an AI marketing coach. It takes what you tell it about your product and your business and generates a 90 Day Growth Plan, daily coaching, marketing strategy, and other outputs designed to help you think more clearly about growth.

Compass is not a regulated professional advisor. It is not a lawyer, an accountant, a financial advisor, a doctor, or a therapist. Its outputs are suggestions, not instructions. You decide what to act on and you are responsible for the decisions you make.

4. Your Account

You are responsible for keeping your password safe and for activity on your account. If you suspect someone has accessed your account without permission, email security@starlighttech.ai and we will help you lock it.

We may suspend or end your access if you break these Terms or if we see behaviour that puts the service at risk. We tell you why and give you a chance to respond, unless the issue is severe enough to require immediate action.

5. Plans, Payment and Billing

Compass offers a free 90 Day Growth Plan and a paid Pro subscription. Pricing is at https://compassbystarlight.com/pricing and is displayed inclusive of UK VAT for UK consumer subscribers in line with section X.1 below.

Subscriptions renew monthly until you cancel. You can cancel any time in Settings. Cancellation ends the subscription at the end of the paid period in which you cancel. We do not pro-rate refunds for the part-used period, except where required by the Refund and Cancellation Policy or by law.

Payments are processed by Stripe. We do not hold your card details. Failed payments are retried by Stripe. If a payment cannot be collected after reasonable retry, the subscription lapses at the end of the paid period.

6. Acceptable Use

You agree to the Acceptable Use Policy, which forms part of these Terms. In summary: do not try to break the service, do not scrape it, do not share your account, do not enter unlawful content, do not use Compass to generate content that breaks UK law, and do not use Compass to build a competing AI coaching service by training models on its outputs.

7. Your Content and Your Feedback

Your inputs and outputs stay yours. The answers you give Compass and the plans Compass generates for you are yours. We process them so we can run the service and so the product can help you. We do not claim ownership of them. We do not use them to train AI models.

Feedback you share with us helps improve Compass. When you complete a survey, drop a quick note, or email us with an observation, you grant us a worldwide, royalty-free, perpetual licence to use that feedback to improve Compass, including incorporating the idea into the product. You do not have to give us feedback and nothing in the product is conditional on you doing so. If you share feedback that you want kept private, say so when you share it and we will treat it as confidential.

8. AI Outputs and Their Limits

Compass uses large language models to generate its outputs. Those models can be wrong. They can produce facts that sound plausible but are not. They can miss context. They can repeat biases that exist in their training data. We reduce these risks as far as we reasonably can. We cannot remove them.

Treat every Compass output as a starting point that needs your judgement. Check facts before acting. For significant decisions involving money, people, or legal exposure, get a human second opinion.

You are interacting with an AI. The AI Use and Automated Decisions Notice sets out the detail and your rights under UK GDPR Article 22.

9. Connectors

If you connect a third-party platform to Compass, you authorise that connection at the point of OAuth. You confirm that you have the right to share that data with Compass and that you have your own lawful basis for processing the data of any of your own customers that may appear in the connector. You can disconnect at any time in Settings.

The full list of connectors, and the data each one accesses, is in Schedule 1 of our Data Processing Agreement, summarised at Sub-processor List.

10. Intellectual Property

Compass, including the name, the product, the design, the wordmark, the templates, and the source code, is our intellectual property. You get a limited, non-exclusive, non-transferable right to use Compass during the term of your subscription. You do not get any right to copy, modify, distribute, or sell Compass.

11. Availability and Warranty

We aim to keep Compass running. We do not promise uninterrupted, error-free, or perfectly available service. Compass is provided on an "as is" and "as available" basis, except for warranties that cannot be excluded under UK consumer law.

If you are using Compass in a personal (non-business) capacity, nothing in these Terms limits your statutory rights as a consumer under the Consumer Rights Act 2015 or the Digital Markets, Competition and Consumers Act 2024.

12. Liability

To the maximum extent permitted by law:

  • Our total liability to you for any claim arising out of Compass in any twelve-month period is limited to the greater of (i) £100 or (ii) the amount you paid us for Compass in the twelve months immediately before the event giving rise to the claim.
  • We are not liable for indirect, consequential, special, or punitive damages, including lost profits, lost revenue, lost data, or loss of business opportunity.
  • We are not liable for damage caused by your reliance on a Compass output without independent verification. This is the whole point of clauses 3 and 8.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.

13. Suspension and Termination

You can cancel any time in Settings. We can end these Terms by giving you 30 days' notice for any reason, or immediately for material breach by you (including breach of the Acceptable Use Policy or non-payment).

On termination, we delete your data in accordance with the retention schedule in the Privacy Notice. You can request a copy of your data before deletion via the Data Rights controls in Settings or by emailing privacy@starlighttech.ai.

14. Changes to These Terms

We may change these Terms. If we make a material change, we email you at least 14 days before the change takes effect. If you do not agree to the change, you may cancel your subscription before the change takes effect and we will refund any unused portion of the then-current paid period.

15. Governing Law and Jurisdiction

These Terms are governed by the law of England and Wales. The courts of England and Wales have non-exclusive jurisdiction over any dispute arising under or in connection with these Terms. If you are a consumer in Scotland or Northern Ireland, you may also bring a claim in the courts of your own jurisdiction.

16. Complaints

If you are unhappy with anything, email complaints@starlighttech.ai. The Complaints Policy sets out our process and your routes if you remain unhappy.

Section X. Compass Founding Member Subscription Terms

This Section X applies in addition to the rest of these Terms for any subscriber on the Compass Founding tier.

X.1 Founding Member price-lock

(a) Compass operates a limited founding-member subscription offer. The first 1,000 subscribers who subscribe to the Compass Founding tier at the published price of £19 per month ("Founding Subscribers") are entitled to retain that price for as long as their Compass Founding tier subscription remains continuously active, subject to this Section X.

(b) The £19 per month figure is a total-amount price for UK consumer subscribers, inclusive of any applicable UK Value Added Tax. For business subscribers and subscribers outside the United Kingdom, £19 is exclusive of any Value Added Tax, Goods and Services Tax, sales tax, or other indirect tax that Starlight Tech Limited is required to collect and remit. Such taxes are added to the £19 on each invoice at the rate in effect on the invoice date.

(c) Subscribers whose billing currency is not pounds sterling are billed at the equivalent of £19 in their billing currency, converted at the exchange rate published by a recognised foreign exchange rate provider and in effect on the first day of the relevant billing period. If a Founding Subscriber changes billing currency during an active subscription, the local-currency amount re-pegs to the equivalent of £19 in the new billing currency at the exchange rate in effect on the date of the change.

(d) The Founding tier is limited to 1,000 subscribers in total. Subscribers join on a first-paid, first-served basis at the moment the first subscription payment is successfully processed. We display the remaining number of Founding tier places on the Compass website until all 1,000 are filled, after which the Founding tier closes to new subscribers.

X.2 Continuity and re-entry

(a) The price-lock continues only while the Founding Subscriber's subscription remains continuously active and in good standing. "Continuously active" means no lapse in paid coverage of more than seven calendar days attributable to the Founding Subscriber.

(b) If a Founding Subscriber cancels, the £19 price applies for the remainder of the paid period in which cancellation is requested. At the end of that paid period the subscription ends and the Founding Subscriber ceases to be a Founding Subscriber.

(c) If a subscription lapses due to non-payment after reasonable retry, the price-lock ends at the end of the paid period in which the lapse occurs. We email at least seven days before the end of the paid period to flag the impending lapse.

(d) A Founding Subscriber whose subscription has ended may re-subscribe to Compass at any time. Re-subscription does not restore Founding Subscriber status. Re-subscription is at the then-current Founding tier price if the Founding tier remains open, or at the standard Pro tier price then in effect if the Founding tier has closed.

X.3 Continuity through corporate events

(a) If Starlight Tech Limited, or any of its parents, subsidiaries, or successors, is subject to an acquisition, merger, transfer of the Compass business or subscription book, or any similar event (a "Corporate Event"), the Founding Subscriber price-lock continues on the same terms for the duration of each Founding Subscriber's continuously active subscription.

(b) Starlight Tech Limited will procure, as a condition of any Corporate Event, that any acquirer, successor, or transferee assumes the commitments in this Section X in full and on the same terms.

(c) This commitment does not override statutory rights of the Founding Subscriber, statutory rights of any acquirer or successor under applicable competition or insolvency law, changes in applicable Value Added Tax or equivalent indirect tax, or termination for material breach by the Founding Subscriber.

(d) The commitment in this clause X.3 is intended to create a direct contractual right for Founding Subscribers against any acquirer, successor, or transferee, enforceable under the Contracts (Rights of Third Parties) Act 1999. The rights of all other third parties to enforce any term of these Terms under that Act are excluded.

X.4 Termination for material breach

Nothing in this Section X restricts our right to terminate a Founding Subscriber's subscription for material breach under clause 13 of these Terms. Termination for material breach ends the subscription and the price-lock.

X.5 Plan and feature changes

The £19 price-lock applies to the Founding tier as offered at the time of first subscription. We may add features and make product improvements without affecting the price-lock. We will not remove a material feature of the Founding tier without offering a reasonable alternative or, at the Founding Subscriber's election, a pro-rata refund for the remainder of the paid period and termination without penalty.

X.6 Changes to this Section X

We will not change the commitments in clauses X.1, X.2 and X.3 in respect of any then-active Founding Subscriber without the Founding Subscriber's prior written agreement. Clerical changes that do not alter the substance do not require agreement.
